August Home Minimum Advertised Price Policy
Minimum Advertised Price and Sales Channel Policy

August Home, Inc. (“August”) enforces this Minimum Advertised Price Policy (“MAPP”) and Sales Channel Policy (“SCP”) on its product sales, applicable to all authorized Distributors and Resellers. The MAPP and SCP are designed to protect the August brand and preserve healthy relationships with all of our sales channel partners. The SCP also defines the channels that August’s Distribution and Resale partners are permitted to sell August products. All elements of this policy have been unilaterally approved by August and will be strictly enforced.

Minimum Advertised Price

i. Application

The MAPP applies to all products manufactured and sold by August to Distributors and Resellers. Authorized Distributors and Resellers are free to institute and advertise their desired resale prices, but are liable for sanctions, defined herein, if the advertised price is below the Minimum Advertised Price defined in this policy.

This policy is uniform to all Distributors and Resellers and is non-‐negotiable. The policy applies neither to advertised prices higher than the Minimum Advertised Price nor the price at which the product is actually sold.

ii. Definition

The Minimum Advertised Price is equal to the MSRP listed in the Price Addendum of this Policy. This Price Addendum is uniform to all Distributors and Resellers. The Price Addendum is subject to change at the discretion of August, and will be communicated to Distributors and Resellers accordingly. It is the responsibility of all Distributors and Resellers to remain current and compliant with the MAPP and Price Addendum.

Promotional, seasonal, or “special offer” advertised pricing that falls below the defined Minimum Advertised Price will be considered a violation of the MAPP if instituted without prior written approval by August. Advertised pricing includes all forms of media including, but not exclusive to, flyers, posters, coupons, mailers, inserts, newspapers, magazines, catalogs, electronic media, television, radio, online advertising and material signage.

iii. Enforcement

Any and each advertisement offering August products below the Minimum Advertised Price is considered a violation of the MAPP. Violations to the MAPP will result in the offending Distributor or Reseller no longer being authorized to sell August products. Violations to the MAPP will be enforced immediately, with no warnings issued. Notice of violation will be made directly between August and the Distributor or Reseller; corrective action on the part of the Distributor or Reseller must be in place within 24 hours of the notice.

Permitted Sales Channels

Authorized Distributors and Resellers are not permitted to sell August products on any electronic or “ecommerce” open marketplace platforms such as Amazon or Ebay, without written consent from August.

All Distributors or Resellers agree to sell August products exclusively from their own premises or web site of which the Distributor or Reseller owns the domain. Finally, Distributors or Resellers agree to not sell August products outside of their authorized country.

The terms of this MAPP and SCP are considered confidential. August reserves the right to modify or seasonally suspend these policies at any time.

Agreement to comply with theses policies is understood to be confirmed by the signature below.
